Conditional waiver and release on final payment

The closeout form that releases everything for the job, but only when the final payment actually lands.

What it does

A conditional final waiver releases your remaining lien rights for the entire project, contingent on receiving the final payment identified in the form. If the payment fails, nothing is released.

It is the correct document when final funds are in motion and you want to close out without giving up protection prematurely.

What final means

Final waivers cover the balance of the contract, including retention and pending change orders. Unlike a progress waiver, there is no later draw to fall back on.

Because the scope is the whole job, verify the amount against your payment record before signing. A short final payment released in full is a loss you cannot undo.

No notice, still strict

The conditional final form does not carry the bold unconditional notice, because the release depends on payment. The statutory language around it is still not yours to edit.

Adding conditions, exceptions, or a broader release of claims takes the document outside the statute.

Closeout discipline

Collect final waivers from every party, including suppliers who furnished to subs. A missing final waiver is an open lien exposure regardless of what you paid.

Keep the signed waiver, the payment record, and the date of clearance together. That package is what defends you if a claim appears months later.
